Medpaid Terms of Service

Welcome to the Medpaid Shopify app, which includes both the Shopify application itself and any extensions (collectively, the “Shopify app”), operated by Medpaid LLC, a Utah limited liability company (“Medpaid,” “we,” “us,” or “our”).

By downloading, installing, or using the Medpaid Shopify app, you agree to these Terms of Service (“Terms”). If you do not agree to these Terms or do not agree to Medpaid’s Privacy Policy found here, do not access or use the Shopify app.

Acceptance of Terms
Agreement + authority

By accessing or using the Shopify app, you acknowledge that:

  • You have read and understood these Terms;
  • You agree to be legally bound by them; and
  • You accept the pricing, terms, and conditions agreed upon at the date of sale.

If you are using the Shopify app on behalf of a business or organization, you confirm that you have the authority to bind that entity to these Terms.

Description of Services
What the app provides

The Shopify app provides tools, integrations, and digital services designed to streamline health-related purchases, documentation, and eligibility processes as well as process payments.

Features may include digital verification, reimbursement assistance, payment integrations, or integrations with third-party services.

We may modify, update, or discontinue parts of the Shopify app or its functionality at any time without prior notice.

Pricing and Payment
Schedules, refunds, fees

By downloading the Shopify app, you agree to the pricing for products in effect at the date of sale. All payments are final unless otherwise required by Shopify applicable law.

Payment Schedules:

  • Medpaid Basic and Reimbursement Services are billed on the 1st of each month and due by the 5th of the same month.
  • PayWithHSA Services operate on a monthly deposit schedule. Medpaid deposits funds into your designated account on the 5th of each month, representing the balance from the previous month’s processed transactions. As such, Medpaid holds collected funds for as much as one month before remittance.

Shipping Refunds and Returns:

Medpaid does not handle or process refunds or returns for any transactions under the PayWithHSA extension.

In the event of a return occurring within 30 days of the original sale, the merchant may receive a credit for the amount of the return, as determined by Medpaid at its sole discretion.

By Using the PayWithHSA Extension you agree to ship products within the time frame advertised on your website or any other marketing or sales platform utilized. If there is no specified time frame you must ship products within 10 days from date of purchase.

Fee Shopify application:

The percentage fee agreed upon at the date of sale Shopify applies only to eligible transaction amounts and does not Shopify apply to sales tax or shipping costs. Merchants retain 100% of any funds collected for sales tax and shipping charges.

All payments are due by the 5th of the month unless otherwise stated in writing by Medpaid. PaywithHSA extension payouts will be processed on the 5th of the month.

License to Use
Permitted use + restrictions

While you have access to the Shopify app, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Medpaid Shopify app for lawful, personal, and non-commercial purposes.

You agree not to:

  • Copy, distribute, or modify any part of the Shopify app;
  • Reverse engineer, decompile, or attempt to extract source code;
  • Use the Shopify app for fraudulent, immoral, harmful, or unlawful purposes; or
  • Interfere with or disrupt the Shopify app’s operation or security.
User Accounts and Security
Account responsibilities

If you create an account, you are responsible for (i) providing accurate and complete information, (ii) maintaining the accuracy and confidentiality of your login and other information and (iii) all activity that occurs under your account.

You agree to notify us immediately of any unauthorized access or security breach involving your account.

Intellectual Property
Ownership + eligibility to use

All content, trademarks, software, code, and materials within the Shopify app are the exclusive property of Medpaid and are protected by state and federal intellectual property laws.

You do not acquire any ownership rights through use of the Shopify app.

To use the Shopify app, you must:

  • Be an individual or a legally registered business entity.
  • Have a valid account with Medpaid.
  • Comply with all Shopify applicable state and federal laws and regulations.
  • Agree to these Terms and our Privacy Policy found here.
Privacy
Policy reference + consent

Your use of the Shopify app is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. You can find our privacy policy here.

By using the Shopify app, you consent to the processing of your information as described in the Privacy Policy.

Disclaimer of Warranties
“As is” terms

The Shopify app is provided “as is” and “as available” without warranties of any kind.

We make no guarantees that the Shopify app will operate without interruption, be error-free, or meet your expectations.

You assume all risks associated with your use of the Shopify app.

Limitation of Liability
Limits on damages

To the fullest extent permitted by law, Medpaid and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Shopify app, any products sold through it, or any services provided through it.

Indemnification
Your obligations

You agree to indemnify, defend, and hold harmless Medpaid, its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the Shopify app, your violation of these Terms, or your infringement of any rights of a third party.

Termination
Suspension and end of access

We reserve the right to suspend or terminate your use of or access to the Shopify app at any time, with or without notice, if you violate these Terms or engage in conduct that could harm Medpaid, its users, or partners, in its sole discretion.

Upon termination, your right to access to and use of the Shopify app will immediately end.

Governing Law and Dispute Resolution
Utah jurisdiction

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules.

You agree that any disputes arising from or relating to these Terms shall be resolved exclusively in the state or federal courts located in Washington County, Utah.

Both parties waive any right to a jury trial.

Changes to These Terms
Updates and acceptance

We may update or modify these Terms at any time.

If we make material changes, we will notify users through the Shopify app or by other reasonable means. Continued use after such notice constitutes acceptance of the updated Terms.

PayWithHSA Extension Eligibility
Minimum thresholds

Medpaid’s PayWithHSA Extension requires specific thresholds and requirements to be met. If you do not meet or maintain the minimum thresholds and requirements outlined below, you may not be eligible or may have the extension revoked at our sole discretion.

Eligibility requirements include:

  • Maintaining a 1% or lower chargeback rate for HSA/FSA customers;
  • Responding to refund or credit requests within 24 hours;
  • Compliance with the refund and credit provisions described in Pricing and Payment above; and
  • Adhering to all Shopify applicable Medpaid operational policies and data security requirements.

Payment Processor Disclosure
Facilitator status + funds handling

Medpaid is a payment facilitator, not a bank, credit union, or escrow service. Funds held by Medpaid in connection with the PayWithHSA extension are temporarily retained for settlement and payout purposes only.

All funds are maintained in dedicated custodial or settlement accounts with licensed financial institutions until disbursed to the merchant.

Medpaid does not pay interest on held funds and does not assume liability for banking institution delays, third-party processing failures, or chargebacks initiated through card networks or health benefit administrators.

By using Medpaid’s payment processing services, you acknowledge and agree that Medpaid’s role is limited to facilitating payment collection and transfer on your behalf, and that Medpaid is not providing banking, fiduciary, or escrow services of any kind.

Tax Responsibility
Merchant obligations

Merchants are solely responsible for determining, collecting, reporting, and remitting any Shopify applicable sales, use, value-added, or other taxes arising from transactions processed through the Shopify app or the PayWithHSA extension.

Medpaid does not provide tax advice and does not collect or remit taxes on behalf of merchants or customers.

The processing or platform fees charged by Medpaid are not subject to sales tax and are assessed solely on eligible transaction amounts, excluding sales tax and shipping charges.

By using the Shopify app or other of Medpaid’s services, you acknowledge that you have reviewed the tax requirements Shopify applicable to your business and will remain fully responsible for all related compliance obligations.

Regulatory Compliance
Merchant responsibility

You agree that your use of the Shopify app complies with all Shopify applicable laws, regulations, and guidelines, including but not limited to those governing health information, financial transactions, and data protection.

Medpaid does not provide legal, medical, or compliance advice. You are solely responsible for ensuring that your business and the products or services you sell comply with all Shopify applicable federal, state, and local laws, including HIPAA, HITECH, IRS Section 213(d), and other healthcare-related requirements.

Data Security and Third-Party Integrations
Integration risks

The Shopify app may integrate with third-party platforms, including but not limited to e-commerce systems, banks, and HSA/FSA administrators. Medpaid is not responsible for the availability, performance, or security of third-party platforms.

You acknowledge that your use of third-party integrations is subject to their respective terms of service and privacy policies. While Medpaid implements industry-standard security measures, no system is fully secure, and we cannot guarantee the prevention of unauthorized access, data breaches, or interception of communications.

Independent Contractor Relationship
No partnership

Your relationship with Medpaid is that of an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Medpaid.

You have no authority to bind Medpaid in any manner, and Medpaid has no obligation to act as your representative or fiduciary beyond the payment facilitation described in these Terms.

Force Majeure
Events beyond control

Medpaid shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of war, terrorism, labor disputes, internet outages, government restrictions, or failures of third-party service providers.

Electronic Communications Consent
Digital notices

By using the Shopify app, you consent to receive communications from us electronically, including notifications, agreements, disclosures, and updates. These electronic communications satisfy any legal requirement that such communications be in writing.

Miscellaneous Provisions
Severability, assignment, entire agreement

If any of the provisions contained herein are found to be illegal or unenforceable by reason of any statute or rule of law, the remaining portions of these Terms shall not be effected thereby and shall remain in full force and effect, it being the intention of the parties that these Terms shall be in force insofar as they are consistent with Shopify applicable law.

These Terms, together with the Privacy Policy found here and any written agreements you have with Medpaid, constitute the entire agreement between you and Medpaid regarding the Shopify app and Medpaid’s other services and supersede all prior understandings.

You may not assign all or any part of your rights or obligations hereunder, whether by operation of law, change of control, or in any other manner, without the prior written consent of Medpaid. Any such assignment in violation of this paragraph will be deemed void. Medpaid may assign, in whole or in part, its rights, interests, and obligations hereunder without limitation and without providing notice to you.
